IMPORTANT - This is a contract between you («You») and Sunglass Hut de México, S.A.P.I. de C.V. and its parent companies, affiliates and subsidiaries (collectively, «Sunglass Hut», «We» or «Us»), as owner of the site www.oakley.com/en-mx(the «Website»). You must carefully read the following Terms of Use («TOU»), as they govern your use of the Website. These TOU are subject to modification by Sunglass Hut at any time without prior notice, by publishing the modified TOU on the Website. By using the Website, You accept the TOU in effect at the time of such use. The use of this Website is expressly conditioned on the acceptance of these TOU, as well as on our Terms of Sale, our Returns Policy, our Warranty Policy and Privacy Notice.
GRANT OF LICENCE
Sunglass Hut grants you a personal, revocable, limited, non-exclusive and non-transferable licence to use the Website solely for your personal use, which does not include activities related to any commercial, business or professional activity, provided that you comply with the terms and conditions of these TOU. Notwithstanding the foregoing, You may not modify, translate, decompile, create derivative works, copy, distribute, disassemble, broadcast, transmit, publish, remove or alter any proprietary notice or label, licence, sublicence, assign, transfer, sell, mirror, frame, exploit, rent, lease, private-label, grant a security interest in or use the Website in any manner that is not expressly permitted in this document.
USER REPRESENTATIONS
By accessing or using the Website, You represent that you are at least eighteen (18) years of age. If you are not of that age, consult your parents or guardian regarding these TOU, as minors below that age are only authorised to use the Website if a parent or guardian accepts these TOU on their behalf. In addition, You undertake to comply with all applicable laws and regulations governing the use of the Website.

These TOU provide only a limited licence to access and use the Website. Accordingly, You expressly acknowledge and agree that Sunglass Hut does not transfer to You or to any other person any intellectual property right or title in the Website. All text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including html code), programs, software, products, information and documentation, as well as the design, the structure, the selection, the coordination, the expression, the appearance and layout of the operating environment and the arrangement of any content included on the Website or available through it, unless otherwise indicated, are the property of Sunglass Hut, and are controlled and licensed by it. Oakley, the Oakley logo or logos and all other names, logos and icons that identify Oakley and its products and services are trademarks owned by Sunglass Hut and any use of such trademarks, including, by way of illustration only, as domain names, account identifiers or search terms, without express written authorisation is strictly prohibited. CONTENT SUBMITTED BY YOU
From time to time we may make available on this Website bulletin boards, chat rooms, comment areas, forums, newsgroups, announcement sections or similar communication services. In these cases, we welcome your comments on our Website. You expressly waive all rights, bases and actions relating to the inspection and approval of the final product that may be produced and used in connection with your User Posted Content. By sending us any User Posted Content, You represent and warrant that you are the holder of all rights, titles and licences necessary for such User Posted Content and that the submission of such materials to the Website does not and will not violate the rights of third parties, including, but not limited to, intellectual property or privacy rights.
RESTRICTIONS

INDEMNIFICATION
By using the Website, You agree to defend, indemnify and hold harmless Sunglass Hut, its parent company, subsidiaries and affiliates, as well as its administrators, directors, board members, employees and agents, against any loss, damage, liability, cost, expense (including legal fees) alleged by any third party and arising from: i) your use of and access to the Website; ii) any User Posted Content; iii) your breach of any of these TOU; and iv) your infringement of any third-party right, including, by way of illustration only, any proprietary, privacy or intellectual property right. This indemnification shall remain in effect for as long as you use the Website.
ENFORCEMENT
You acknowledge that any breach, threatened or actual, of these TOU will cause irreparable harm to Sunglass Hut, such harm would not be quantifiable in monetary damages and Sunglass Hut would not have an adequate remedy at law. Therefore, You agree that Sunglass Hut shall be entitled, in addition to other available remedies, to seek and obtain an injunction or other appropriate equitable relief from a court of competent jurisdiction restraining any breach, threatened or actual, of your obligations under any provision of these TOU.
TERM AND TERMINATION
These TOU shall terminate immediately and automatically, upon our notification, if You fail to comply with any section. You may also terminate these TOU at any time by ceasing to use the Website. Your obligations contained in this document shall survive the termination of these TOU for any reason.
WAIVER AND SEVERABILITY OF THE AGREEMENT
The failure to insist on strict compliance with any of the terms and conditions of these TOU shall not constitute a waiver of any subsequent breach or failure to perform. If it is determined that any part of these TOU is not valid or cannot be enforced under applicable law or a court order, including, by way of illustration only, the warranty disclaimers and the limitations of liability set out above, the invalid or unenforceable provision shall be deemed replaced by a valid and enforceable provision that matches as closely as possible the intent of the original provision and the remainder of these TOU shall remain in effect.
APPLICABLE LAW
This agreement and all the rights and obligations of the parties shall be governed by and construed in accordance with Mexican law. The parties agree to submit to the jurisdiction of the courts of Mexico City, and therefore expressly waive any venue or jurisdiction to which they may be entitled by virtue of their present or future domiciles or for any other reason.
INDEPENDENT PARTY
You are an independent party. There is no joint venture, partnership, employment or agency relationship between You and Sunglass Hut as a result of these TOU or your use of the Website.
ENTIRE AGREEMENT
These TOU, the Additional Policies and any other agreement or terms or conditions of services, information or licences available through the Website, which are incorporated by reference as if set out in full in this document, represent the entire agreement between You and Sunglass Hut with respect to the use of the Website and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between You and Sunglass Hut with respect to the Website.
PROHIBITION ON ASSIGNMENT
You may not assign or transfer any right under this Agreement without the prior written consent of Sunglass Hut.
